These Terms & Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Association of Christian Business Women, Inc. (“ACBW,” “we,” “us,” or “our”), a for-profit membership organization based in Palm Beach Gardens, Florida, concerning your access to and use of acbw.org and any related media form, media channel, mobile website, or mobile application (collectively, the “Site”). These Terms also govern your access to and use of ACBW membership offerings, event registrations, programs, content, and other products and services (collectively, the “Services”).
01Acceptance of Terms
By accessing the Site or using ACBW services, including membership and events, you agree that you have read, understood, and agreed to be bound by all of these Terms, as well as any additional terms, policies, guidelines, and notices incorporated by reference — including event-specific rules, membership rules, and community guidelines posted from time to time.
If you do not agree with all of these Terms, you are expressly prohibited from using the Site and Services and must discontinue use immediately.
02Eligibility and Account Responsibilities
- Eligibility — membership and participation is available to women who are followers of Christ and are in business, aspiring to become business owners, or in leadership roles, including ministry. We may refuse, suspend, or terminate membership as permitted by these Terms, for example for violations of our community standards, nonpayment, misuse of Services, or conduct that threatens the safety or integrity of the community.
- Account creation — certain portions of the Site or Services may require an account. You agree to provide accurate, complete, and current information and to keep it updated. You may not create an account on behalf of another person unless authorized to do so.
- Account security — you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use or breach of security. We are not responsible for losses caused by unauthorized use of your account to the extent permitted by law.
- Operational communications — by creating an account, purchasing, registering, applying for membership, participating in social media DM flows, or otherwise providing contact information, you consent to receive operational (non-marketing) communications related to your account, purchases, membership, applications, and events. These may include receipts, confirmations, schedule updates, access instructions including Zoom links, password resets, service announcements, and follow-up resources.
- Electronic notices and consent — you agree that all agreements, notices, disclosures, and other communications we provide electronically (via the Site, email, SMS, or social media direct messages) satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
03Membership Terms
- Membership application — applying requires completing our application form and providing, at a minimum, your first name, last name, business/ministry name, position/title, email, and cell phone. You must also affirmatively agree to ACBW’s Member Responsibilities, which are part of the conditions of participation and may include expectations related to faith-based sisterhood, respectful conduct, confidentiality, and integrity in business interactions.
- Approval and access — membership may be effective upon completion of registration and payment, or upon approval if ACBW uses an approval process for a specific tier or period. We may request additional information to verify eligibility, and may decline or revoke membership as permitted by law and these Terms.
- Plans and pricing — membership plans, benefits, pricing, and billing intervals are described at the time of registration or purchase and may change from time to time. Changes apply prospectively to the extent permitted by law and as disclosed at renewal or purchase.
- Payment of dues — payments are processed in U.S. Dollars through third-party secure payment gateways. You represent that you have the legal right to use the payment method provided, and agree that ACBW may share necessary information with our processors to complete transactions and prevent fraud.
- Taxes — prices may not include applicable taxes, bank fees, or currency conversion fees, which may be added by us or charged by your financial institution.
- Cancellation — you may cancel at any time via your account settings (if available) or by contacting us. Cancellation stops future renewals but does not retroactively refund amounts already paid, except as required by law or expressly stated in a written program agreement.
- Refunds — unless otherwise stated in a specific written program agreement, membership dues are non-refundable and no pro-rated refunds will be issued for the remaining term. If you cancel, you may continue to access membership benefits until the end of your then-current paid term, unless access is suspended or terminated for cause.
- Automatic renewal — memberships may be set to automatically renew. You authorize ACBW to charge the payment method on file for renewal fees unless cancelled prior to the renewal date. If payment fails, we may reprocess it, suspend benefits, downgrade access, or terminate membership until payment is received.
- Member-to-member dealings — any transactions, collaborations, coaching, consulting, or other business dealings between members are solely between the parties involved. You are responsible for performing your own due diligence. ACBW does not guarantee outcomes or performance.
- Termination by ACBW — we may suspend or terminate membership or access for violations of these Terms, nonpayment, fraud, misuse, or behavior that threatens the safety, integrity, mission, or values of the community. Where appropriate we may provide warnings or an opportunity to cure, but are not required to do so.
04Events, Programs, and Digital Products
- Registration — some Services require separate registration and may be subject to additional terms, schedules, codes of conduct, venue rules, safety requirements, and eligibility restrictions. By registering for an event you agree to receive communications related to that event, including Zoom links or access instructions, confirmations, reminders, and follow-up resources. You are responsible for providing a correct email address and for downloading any required apps or creating required third-party accounts.
- Event changes — event details including speakers, venue, agenda, format, dates, and times may change. We may cancel, reschedule, modify, or convert an event to virtual for operational, ministry, safety, public health, weather, enrollment, speaker availability, or venue reasons. If we cancel an event entirely, we will describe the remedy — transfer to a comparable event, credit, or refund — in the applicable event communications, subject to law.
- Transfers — tickets, registrations, and program access may be non-transferable unless expressly permitted in writing. Where transfers are permitted, ACBW may require verification and may charge a disclosed administrative fee.
- Travel and lodging — if you incur travel or lodging costs you do so at your own risk. To the fullest extent permitted by law, ACBW is not responsible for such expenses even if an event is modified, rescheduled, relocated, or canceled.
- Virtual events and access windows — access windows, replay availability, and platform requirements are described at purchase or registration. You are responsible for your internet access, device compatibility, and the confidentiality of access links and credentials. You may not share, resell, or publicly post access links or private event materials.
- Digital products and downloads — you receive a limited, personal, non-transferable license to access and use digital products, downloads, templates, or recordings for your internal business or ministry purposes unless otherwise stated. You may not reproduce, distribute, or create derivative works except as expressly permitted in writing.
- No professional advice — content, sessions, and materials are for informational and educational purposes only and do not constitute legal, financial, medical, tax, investment, or other professional advice. You are responsible for obtaining advice from qualified professionals for your situation.
- Photographs, audio, and video — ACBW or its designees may photograph, record, or livestream events. By attending, you grant ACBW permission to use your name, likeness, voice, and image for business and promotional purposes without compensation, unless prohibited by law. If you have concerns, contact us before the event.
05Community Standards and Member Interactions
- Christian conduct and respect — ACBW is a faith-based sisterhood focused on encouragement, empowerment, and prayerful support. You agree to engage respectfully and refrain from divisive, harassing, discriminatory, or abusive conduct.
- No harassment or abuse — you shall not harass, abuse, stalk, intimidate, threaten, or harm other members, attendees, speakers, sponsors, volunteers, or staff.
- No spam or unsolicited solicitation — you shall not distribute spam, chain letters, unsolicited professional solicitations, or fraudulent content, and may not harvest or scrape member contact information or use it for unsolicited marketing.
- Truthfulness — you shall not misrepresent your identity, affiliation, credentials, or business offerings.
- Confidentiality and sensitivity — members may share prayer requests, testimonies, business challenges, and personal information. You agree to treat such information with care and not to disclose confidential or sensitive information without permission.
- Reporting — if you experience or witness conduct that violates these Terms, please contact us.
06User Conduct (Site and Services)
You agree not to use the Site or Services for any purpose prohibited by these Terms, and you are responsible for all of your activity in connection with the Services. You shall not:
- Engage in unlawful activity or promote illegal acts.
- Attempt to bypass measures we use to prevent or restrict access to the Site or Services.
- Interfere with or disrupt the Site, the Services, or connected networks.
- Upload or transmit viruses, malware, or other harmful code.
- Infringe the rights of others, including intellectual property, privacy, or publicity rights.
- Use any automated system such as bots or scrapers to access the Site without our prior written consent.
- Share, resell, or improperly distribute member-only content, event links, recordings, or resources except as expressly permitted in writing.
- Post or transmit content that is defamatory, obscene, hateful, discriminatory, or that violates another person’s privacy.
07Intellectual Property Rights
Unless otherwise indicated, the Site and Services are our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (the “Content”), together with the trademarks, service marks, trade names, and logos contained therein (the “Marks”), are owned or controlled by ACBW or licensed to ACBW.
For clarity, “Association of Christian Business Women” (ACBW), “Kingdom LeadHERship”, and the “Kingdom Ambassador Program” are brand names and unregistered service marks and intellectual property owned by ACBW, unless otherwise stated.
- The Content and Marks are provided on the Site “as is” for your information and personal use only.
- No part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
- Limited license — subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal, non-commercial use.
- Feedback — if you submit suggestions, ideas, or feedback, you grant ACBW the right to use them without restriction or compensation, to the extent permitted by law.
08Third-Party Services and Payment Processors
We may use third-party service providers — including payment processors, event platforms, social media platforms, direct message automation providers, email and SMS providers, analytics providers, and community platforms — to provide parts of the Services. Your use of third-party services may be subject to those parties’ terms and privacy policies. ACBW is not responsible for third-party platforms or services, including outages, changes, or acts and omissions of those providers.
All payment transactions are processed through third-party secure payment gateways. ACBW does not store full credit card numbers on its servers, although our processors may provide limited information such as card type, expiration date, billing ZIP code, or last four digits for account management, receipts, and support. Your payment information is handled by the applicable processor under its terms and privacy practices.
If you initiate a chargeback or payment dispute, we may suspend your access to the Services while the dispute is pending. We also reserve the right to provide information and documentation to the payment processor or financial institution to contest the dispute.
09Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, ACBW DOES NOT ENDORSE OR GUARANTEE ANY MEMBER, ATTENDEE, OR THIRD-PARTY PRODUCTS OR SERVICES. ANY RELIANCE ON INFORMATION OBTAINED THROUGH THE SITE OR SERVICES IS AT YOUR OWN RISK.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACBW’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ACBW FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
11Indemnification
You agree to defend, indemnify, and hold us harmless — including our subsidiaries, affiliates, and all respective officers, agents, partners, and employees — from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your contributions; (2) use of the Site or Services; (3) breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; or (5) your violation of the rights of a third party, including intellectual property rights.
12Termination
ACBW reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Site and Services — including blocking certain IP addresses — to any person for any reason, including breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. Upon termination, your right to use the Site and Services immediately ceases. Sections that by their nature should survive termination will survive.
13Dispute Resolution and Governing Law
- Governing law — these Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
- Venue — to the extent a dispute is not subject to arbitration, any legal action shall be commenced in the state and federal courts located in Palm Beach County, Florida, and the parties consent to and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.
- Mandatory arbitration — any dispute arising out of or related to these Terms shall be resolved through binding arbitration in Palm Beach County, Florida, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property rights.
CLASS ACTION WAIVER: YOU AND ACBW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. TO THE FULLEST EXTENT PERMITTED BY LAW, UNLESS BOTH YOU AND ACBW AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
14Third-Party Links
The Site may contain links to other websites. Such third-party websites are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any third-party website accessed through the Site. Linking does not imply endorsement.
15Social Media DM Keyword Flows
From time to time, ACBW may offer the ability to request information, resources, links, promotions, or registrations through social media direct messages using a keyword — for example, commenting a keyword or sending a keyword via DM (a “DM Keyword Flow”). If you participate, you authorize ACBW and our service providers to:
- Send you the requested information, such as a registration link, downloadable resource, or instructions to join a call, through the applicable social media platform.
- Follow up with you about the specific item you requested, including reminders and helpful resources related to that request.
- Collect and process the information you provide through the flow, such as your name, email address, or mobile number, to deliver the requested materials and administer our Services.
DM Keyword Flows are subject to the terms, policies, and technical limitations of the applicable platform. ACBW does not control platform functionality, delivery timing, or message visibility. You may stop receiving messages within a platform by using that platform’s controls — muting, blocking, or otherwise disabling messages — and by following any instructions we provide in the flow.
16Kingdom Ambassador Program
The Kingdom Ambassador Program is governed by a separate Kingdom Ambassador Program Agreement. If there is any conflict between these Terms and the Ambassador Agreement regarding ambassador activities, referrals, marketing requirements, commission or referral payments, eligibility, compliance requirements, or termination, the Ambassador Agreement controls with respect to those matters.
- Participation and eligibility — ambassadors must be approved by ACBW and remain in good standing. ACBW may accept or decline any application in its discretion and may suspend or terminate ambassador status as set forth in the Ambassador Agreement.
- Referral commissions — accepted ambassadors may be eligible to earn referral commissions or other incentives. Commission amounts, qualifying actions, tracking rules including unique links and codes, payment timing, reversals and chargebacks, minimum payout thresholds, and required tax forms are governed exclusively by the Ambassador Agreement.
- Marketing and compliance — ambassadors are responsible for ensuring their promotional activities comply with all applicable laws and platform rules, including disclosure requirements for endorsements and referral relationships. Ambassadors may not make earnings claims, guarantees, or misleading statements about ACBW or its offerings.
- Independent relationship and taxes — participation does not create an employment, partnership, joint venture, franchise, or agency relationship unless expressly stated in the Ambassador Agreement. Ambassadors are responsible for their own taxes and reporting related to commissions.
17Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by an updated effective date and will be effective as soon as it is accessible. Your continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms.
18Severability and Entire Agreement
These Terms and any policies or operating rules posted by us on the Site, including the Privacy Policy, constitute the entire agreement and understanding between you and us regarding the Site and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. Our failure to exercise or enforce any right or provision shall not operate as a waiver of that right or provision. If any provision or part of a provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of the remaining provisions.
